1. Introduction

These Participation Terms explain the conditions under which eligible motor dealerships may participate in the Zimbabwe Motor Sales (ZMS) Founding Dealer Pilot.

The pilot is designed to introduce participating dealerships to the ZMS vehicle marketplace while supporting responsible vehicle advertising, buyer education and greater consumer awareness in Zimbabwe.

Participation is voluntary and subject to approval by Zimbabwe Motor Sales.

2. Eligibility

The Founding Dealer Pilot is intended for legitimate motor dealerships operating in Zimbabwe.

To be considered, a dealership must:

-Provide accurate business identification and contact details.

-Be authorised to advertise the vehicles it submits.

-Agree to comply with applicable laws and ZMS platform requirements.

-Provide additional reasonable verification information when requested.

-Agree to these Participation Terms before completing pilot enrolment.

Submission of an application does not guarantee acceptance.

ZMS may decline an application where eligibility or verification requirements have not been satisfactorily met.

3. Founding Dealer Offer

Approved participating dealerships may publish up to three eligible vehicle listings without listing fees during the applicable pilot period.

The offer includes:

-Access to a dealership profile, subject to account approval.

-The ability to submit up to three eligible vehicle listings under the free pilot allocation.

-Review of submitted listings before public publication.

-An opportunity to provide feedback on the developing ZMS platform.

The free allocation represents a maximum of three listings active at one time, unless otherwise expressly agreed by ZMS.

No payment information is required solely to receive the free pilot listing allocation.

4. Pilot Duration and Future Pricing

The pilot's start date, duration and listing-expiry conditions will be disclosed to participating dealerships before they accept enrolment.

Participation in the free pilot does not automatically enrol a dealership in a paid subscription.

If ZMS introduces paid services or listing fees, their prices and conditions will be disclosed separately.

A dealership will not be charged for a new paid service without an affirmative agreement to that service.

At the conclusion of the pilot, ZMS may offer continued free participation, an optional paid arrangement or termination of the pilot listing allocation.

Dealerships will be informed of the applicable arrangements before any change affecting their existing pilot allocation takes effect.

5. Dealer Responsibilities

Participating dealerships are responsible for ensuring that information submitted to ZMS is accurate, lawful and not misleading.

Dealerships must:

-Describe vehicles accurately, including relevant condition and ownership information.

-Provide correct prices and material vehicle details.

-Avoid false claims about mileage, accident history, customs clearance or documentation.

-Advertise only vehicles they own or are authorised to offer.

-Avoid deceptive pricing, fraudulent advertising and misleading photographs.

-Update or remove listings when vehicles are sold or become unavailable.

-Cooperate with reasonable enquiries concerning listing accuracy.

ZMS may request supporting documentation when necessary to assess a listing.

6. Listing Review and Publication

All vehicle listings submitted through the dealer portal are subject to ZMS review before public publication.

ZMS may request corrections, reject a listing or remove published content where it reasonably identifies inaccurate information, policy violations or potential risks to platform users.

Listing approval does not constitute a guarantee or certification of vehicle condition, ownership, legal status or fitness for a particular purpose.

Dealerships remain responsible for the accuracy and lawfulness of their listings.

7. Buyer Enquiries and Vehicle Transactions

Zimbabwe Motor Sales provides a platform through which dealerships may advertise vehicles and potential buyers may discover available stock.

Unless ZMS expressly agrees otherwise in a separate arrangement, vehicle negotiations, inspections, payments, transfers and sales contracts take place directly between the dealership and the buyer.

Dealerships must comply with their applicable legal obligations toward buyers.

ZMS does not guarantee buyer enquiries, sales, revenue or any particular commercial outcome.

Nothing in these Terms excludes or limits rights or responsibilities that cannot lawfully be excluded.

8. Communications and Marketing Consent

Dealership representatives may request the Founding Dealer information package without agreeing to receive ongoing promotional emails.

Submitting a package request authorises ZMS to use the supplied contact information to respond to that request and provide reasonably related information necessary to complete it, subject to applicable law.

Consent to receive ongoing promotional communications is requested separately and is optional.

A dealership's decision not to provide marketing consent does not, by itself, prevent consideration for the pilot.

Marketing consent may be withdrawn using the available unsubscribe mechanism or by contacting ZMS.

9. Privacy and Personal Information

ZMS processes personal information for purposes including responding to enquiries, reviewing dealership applications, administering accounts, supporting listings and handling communications.

Details of personal-information practices are provided in the Zimbabwe Motor Sales Privacy Policy, available through the main ZMS website.

ZMS will handle personal information in accordance with applicable data-protection requirements.

10. Suspension and Termination

A participating dealership may request withdrawal from the pilot by contacting ZMS.

ZMS may suspend or terminate participation where reasonably necessary because of:

-False or misleading dealership information.

-Fraudulent or unlawful vehicle advertising.

-Material violations of these Terms.

-Failure to satisfy reasonable verification requirements.

-Misuse of the ZMS platform.

-Significant risks to buyers or other users.

Where appropriate and practicable, ZMS may provide an opportunity to correct a problem before terminating participation.

Serious fraud, unlawful conduct or material safety concerns may justify immediate action.

11. Changes to the Pilot

ZMS may update the pilot's procedures or Participation Terms as the platform develops.

Material changes affecting existing participants will be communicated within a reasonable period before taking effect, except where immediate changes are necessary for legal compliance, security or safety.

Changes do not automatically impose paid obligations on participating dealerships.

12. Applicable Law

These Terms are intended to operate consistently with applicable laws of Zimbabwe and any other mandatory laws that apply to the relevant activities.

Nothing in these Terms limits statutory rights or obligations that cannot legally be excluded.
